ACPA BYLAWS

ARTICLE I - Name

This organization shall be known as the American Chinese Pharmaceutical Association, herein after referred in the Bylaws as ACPA.

ARTICLE II - Objectives

The ACPA is organized exclusively for educational, professional and scientific purposes. It is a non-profit and non-political organization. Therefore, the objectives of the Association shall be:

  1. To promote professional well being of American Chinese pharmacists and pharmaceutical scientists.
  2. To encourage, in the broadest and most liberal manner, the advancement of pharmacy and pharmaceutical sciences and practices, and to facilitate and promote scientific contacts among pharmacists and pharmaceutical scientists of Chinese heritage.
  3. To provide educational opportunities for pharmacists and pharmaceutical scientists of Chinese heritage.
  4. To promote health-related issues to the Chinese community.

     

    ARTICLE III - Membership

Section 1.

The ACPA shall have two categories of membership, active and associate.

  1. Active: Any person of Chinese heritage in America qualified by education (Pharmacy or Pharmaceutical Sciences) and/or occupation (Pharmacist or Pharmaceutical Scientists) to further the objectives of the Association shall be eligible for active membership.
  2. Associate: Any person who does not qualify for active membership but is interested in furthering the objectives of the Association may qualify for associate membership. This includes students and persons residing outside of United States and Canada; such members are referred to as Student and International Associate members, respectively.

Section 2.

Applicants for membership shall become members upon submission of a completed application form, approval by the Executive Committee, and payment of dues.

Section 3.

All classes of membership shall be required to respond to inquiries from the Secretary of the Association concerning their status and current address in order to remain on the Association mailing list. Failure to respond to such inquires for two successive years will automatically result in the removal of such members from the Association membership list. A member may be restored to the Association membership list upon written request to the Secretary of the Association.

Section 4.

Members may withdraw their membership from the Association by written notice to the Secretary. Members shall be notified in writing by the Treasurer if dues are not paid by the beginning of calendar year. If dues are not received by the following annual meeting, such members will be dropped from the membership list.

ARTICLE IV - Dues

Section 1.

The annual term of membership begins January 1 of each calendar year and ends on December 31. Membership dues shall be paid by ACPA members to the Treasurer of ACPA before the beginning of each calendar year.

ARTICLE V - Officers

Section 1.

The elected officers of the Association shall be President, President-Elect, Secretary and Treasurer.

Section 2.

President and President-Elect shall serve for a term of one year and shall not succeed himself/herself in the same office. Secretary and Treasurer shall serve for a term of two years and can serve in the same office if re-elected, but are limited to three consecutive terms.

Section 3.

The President is the Chief Executive Officer of ACPA and is responsible for the general supervision and control of all association business. He/she shall preside at meetings of the Association, chair the Executive Committee, appoint the Executive Secretary, Executive Student Liaison, the Regional Coordinators, Association committees as provided by the Bylaws and ad hoc committees as the need arises.

Section 4.

The President-Elect is responsible for the operation of ACPA. He/she shall execute assignments as delegated by the President, and shall assume the duties and responsibilities of the President in the absence, vacancy or disability of the President.

Section 5.

The Secretary is responsible for keeping minutes of all meetings of the Association. His/her responsibilities include notifying members in writing of the meetings, resolutions and Bylaws changes, and of changes in membership, and maintaining a file of records for the Association. Such a file must include the names of officers and committee members, applications, membership list, minutes, copies of all Bylaws and revisions, financial reports and records, the corporate seal, and other pertinent material and correspondence.

Section 6.

The Treasurer is responsible for keeping an accurate record of all receipts and expenditures of money, collecting all monies due to the Association and depositing them in a bank selected by the Executive Committee, making signed and authorized disbursements. He/she is responsible for collecting dues, issuing membership cards, maintaining a current list of members, and notifying members whose dues have not been paid by the beginning of calendar year. He/she shall prepare an annual report for presentation to the Association at the end of fiscal year and submit quarterly financial reports detailing the current Association worth if the President so desires.

Section 7.

In coordination with the Secretary and Treasurer, the Executive Secretary shall maintain all legal and financial records for IRS tax exemption. He/she is a non-voting member of the Executive Committee and is responsible for filing the income tax return.

Section 8.

The Regional Coordinators are responsible for assisting the President and President-Elect at the regional level. They shall inform the Executive Committee of the opinions of members in their respective regions and prepare reports of their regional activities.

ARTICLE VI - Election of Officers

Section 1.

The President shall appoint a Nominating Committee which reports to the Association at least one month before the annual meeting (generally held in December), the names of at least two candidates for each office, who have expressed a willingness to serve if elected.

Section 2.

Additional nominations may be made by petition by three members in writing to the Secretary six weeks before the annual meeting. It shall be the responsibility of the persons making the nomination to determine, prior to the nomination, that the nominee is eligible and willing to serve if elected.

Section 3.

Election of Officers shall be held at the annual meeting. Ballot for nomination and a brief biographical sketch of each candidate shall be sent to all paid active members for vote prior to the meeting. All returned ballots before the deadline as set by the Nomination Committee will be counted at the Executive Committee Meeting in December. Candidates receiving a simple majority vote shall be elected. Another vote will be taken to break the tie.

Section 4.

Elected candidates shall automatically assume office on January 1st of the new calendar year.

Section 5.

At the discretion of the Executive Committee, a vacancy in an elected office may be filled by a majority vote of the Executive Committee.

Section 6.

If an elected officer is unable to perform the duties of his/her office as specified in ARTICLE V, he/she will be removed by the action of the Executive Committee and the vacancy thus created be filled as per section 5 above.

ARTICLE VII - Meetings

Section 1.

The annual meeting shall be held in December of each year (preferably during the midyear clinical meeting of ASHP).

Section 2.

The Officers, at the request of the President, shall provide written reports.

Section 3.

The President shall prepare a proposed agenda for his/her term including appointments of Regional Coordinators and Chairpersons of Association Committees, following approval by the Executive Committee, and shall publish this approved agenda in the first newsletter of the calendar year.

Section 4.

Special meetings may be called by the President or members of the Executive Committee.

ARTICLE VIII - Committee

Section 1.

The Executive Committee shall consist of the elected officers as defined in ARTICLE V, Section 1, which are the President, President-Elect, Secretary, Treasurer, Immediate Past-President, and two non-voting members: Executive Secretary and Executive Student Liaison. The Executive Committee shall act on all subjects pertaining to the general management and policies of the Association except those otherwise stipulated by the Bylaws.

Section 2.

Other committees may be established as deemed necessary by the President. The makeup, membership and duties of these committees shall be at the discretion of the Association President.

ARTICLE IX - Amendments

Section 1.

These Bylaws, or any part of them, may be amended by a two-thirds vote of the members present at the annual meeting of ACPA, provided that written and mail-in ballots have been sent to all members prior to the annual meeting.

Section 2.

Proposed amendments may be made by any member.
